1. IN GENERAL
Access to and use of this Website and the products available through this Website are subject to the following Terms and Conditions. By using this Website the Buyer agrees to all of the terms and conditions as may be updated by us from time to time. The Buyer should check this page and the Delivery and Shipping section regularly to take notice of any changes we may have made to the Terms and Conditions. Access to the Website is permitted on a temporary basis and we reserve the right to withdraw or amend the Website without notice. We will not be liable if for any reason some part or this entire Website is unavailable at any time or for any period. Nothing in these Terms and Conditions shall affect the Buyer’s statutory rights. Acceptance of delivery of goods shall be deemed as conclusive evidence of the Buyer’s acceptance of these Terms and Conditions. Any variation of these Terms and Conditions, including special terms and conditions agreed between the buyer and Timesource Limited, shall be inapplicable unless agreed in writing and signed by a director of Timesource Limited.
2. PRIVACY POLICY
Our privacy policy, which sets out how we will use your information, can be found at Privacy Policy. By using this Website the Buyer consents to the processing described therein and warrants that the data they have provided is accurate.
3. COMPLIANCE WITH LAWS
The Timesource Limited Website may be used only for lawful purposes and in a lawful manner. The Buyer agrees to comply with all applicable laws, statutes and regulations regarding the website and any transactions conducted on or through the Timesource Limited Website.
4. INTELLECTUAL PROPERTY AND RIGHT TO USE The Buyer acknowledges and agrees that all copyright, trademarks and all other intellectual property rights in all materials or content supplied as part of the Timesource Limited Website shall remain at all times vested in us or our Licensor. The Buyer is permitted to use this material only when expressly authorised by us or our Licensor in writing. The Buyer acknowledges and agrees that the material and content contained within the Timesource Limited Website is made available for personal non commercial use only and the Buyer may download such material and content onto only one computer hard drive for such purpose. Any other use of the material and content of the Timesource Limited Website is strictly prohibited. The Buyer agrees not to (and agrees not to assist or facilitate any third party to) copy, reproduce, transmit, publish, display, distribute, commercially exploit or create derivative works of such material and content. Ravel, Wingmaster and Henley are registered trademarks belonging to Timesource Limited and its Licensor. No licence or consent is granted to the Buyer to use these marks in any way, and the Buyer agrees not to use these marks or any marks which are colourably similar without the written permission of Timesource Limited or our Licensor.
5. TERMS OF SALE
Eligibility To be eligible to order goods on the Timesource Limited Website and lawfully enter into and form contracts on the Website under English Law the Buyer must register by providing their real name, date of birth, telephone number, e-mail address, credit card details and other requested information. Purchases on the website can only be made by those individuals aged over 18 years of age (excludes some commercial premises and PO Boxes) who meet these terms of eligibility, who have been issued a valid credit card by a bank acceptable to us, whose applications are acceptable to us and who have authorised us to process a charge or charges to their credit card in the amount of the total purchase price for any goods which they purchase.
5.2. Ordering All orders for goods shall be deemed to be an offer by the Buyer to purchase goods pursuant to these Terms and Conditions and are subject to acceptance by Timesource Limited. The Buyer’s order will only be accepted and a legally binding contract entered into between the Buyer and Timesource Limited upon the despatch of the goods to the Buyer. Receipt by the Buyer of an electronic or other form of order confirmation does not signify our acceptance of the order, nor does it constitute confirmation of our offer to sell. Timesource Limited reserves the right, at any time after receipt of the Buyer’s order, to accept or decline the order for any reason. Timesource Limited products are subject to availability and we reserve the right to supply less than the quantity the Buyer ordered at any time. We make our best endeavours to ensure that all details, descriptions and prices of products are correct at the time of input onto the Timesource Limited Website. Although we aim to keep the Website as up to date as possible, the information appearing on the Website at a particular time may not always reflect the position at the time the Buyer places an order. Timesource Limited pre-approves sales orders and will require an acceptable method of payment prior to the goods being despatched to the Buyer, as established by our credit and fraud avoidance department. All credit / debit card holders are subject to validation checks and authorisation by the card issuer. If the issuer of a card refuses to authorise payment to us, we will not be liable for any delay or non delivery. 6. CURRENCY CONVERTER
Timesource Limited will accept payments from overseas Buyer’s in either UK pounds sterling, Euros or US Dollars. Our currency conversion rates are based on those rates available to us on a daily basis from HSBC and should be used for guidance only. Rates are not verified as accurate and rates may vary. If the overseas Buyer requests to pay in either Euros or US Dollars we will calculate the final conversion after calculating all shipping costs.
7. CANCELLATION POLICY
Stock Orders – once you submit an order, we immediately prepare all stock items for delivery. It is possible during any point before despatch to cancel or amend your order by either informing us by email on [email protected] or telephoning on 01778 343000 and asking for Sales. However, once your order has been despatched we cannot accept any cancellation or amendment. Customers have 48 hours (excluding weekends and public holidays) from the date of receipt of goods to report any shortages, breakages or part deliveries. Timesource Limited will not be responsible for any claim made after that time. We take every care to despatch orders accurately and in good condition. In the unlikely event that you receive goods which are not what you ordered or that are damaged or defective, or a different quantity to that stated on your invoice, and have notified us accordingly within 72 hours, Timesource Limited at its own option, will make good any shortages or non delivery, replace any damaged or defective goods or credit the amount in question. OEM Orders – once all terms and conditions of an OEM order have been agreed and signed off by the Buyer and the order put into production, Timesource Limited will not accept any cancellation of the order without charge. Monetary deposits agreed and paid by the Buyer at the beginning of the project will be non refundable. Timesource Limited reserves the right to invoice the Buyer for the costs incurred by Timesource Limited and our business suppliers from the acceptance date of the order up until the date we receive written notification of cancellation. 8. RETURNS POLICY Timesource Limited offers an exchange service or goods to value for all returns received due to manufacturing defects. We do not accept liability for products that have been misused or abused or have undergone extreme wear and tear. For full exchange or goods to value all returns should be as new and in the original packaging complete with all warranty cards, manuals and accessories. If goods are not received back in as new condition then this will affect the value of the refund.
9. SEVERANCE
If any part of the Conditions shall be deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed to be severable from the Conditions and shall not affect the validity and enforceability of any of the remaining provisions of the Conditions.
10. WAIVER
No waiver by us shall be construed as a waiver of any proceeding or succeeding breach of any provision. 11. SURVIVAL Each provision of the Conditions shall be construed as separately applying and surviving even if for any reason one or other of those provisions is held to be inapplicable or unenforceable in any circumstances.
12. ENTIRE AGREEMENT
The Conditions (as amended from time to time) contain the entire agreement between the parties relating to the subject matter covered and supersedes any previous agreements, arrangements, undertakings or proposals, written or oral, between the parties in relation to such matters. No oral explanation or oral information given by any party shall alter the interpretation of the Conditions. You confirm that, in agreeing to accept the Conditions, you have not relied upon any representation save insofar as the same has expressly been made a representation in the Conditions and you agree that you shall have no remedy in respect of any misrepresentation which has not become a term of the Conditions save that your agreement contained in this Clause shall not apply in respect of any fraudulent or negligent misrepresentation whether or not such has become a term of the Conditions.
13. LAW
The Conditions shall be governed by and construed in accordance with the laws of England and you irrevocably submit to the exclusive jurisdiction of the courts of England.
